Terms and Conditions

1. Overview

These Terms & Conditions apply to all services provided by AW Design (“we”, “us”) to the client (“you”).

By approving a proposal, quote, or invoice, you agree to these Terms.

The agreed proposal and these Terms together form the full agreement between us. If there is any conflict, the proposal terms will take priority.

 

2. Scope of Work

All work is carried out based on the agreed proposal, which will outline what is included and what is not included.

Anything outside of the agreed scope will be treated as additional work, quoted separately, and must be approved before work continues.

 

3. Project Process & Timelines

Projects typically follow stages such as planning, design, development or production, review, and delivery or launch.

Timelines depend on timely feedback, approvals, and content from you. Delays in feedback or content may affect delivery timelines but do not delay payment schedules.

 

4. Revisions & Additional Work

Reasonable revisions are included within the agreed scope. A revision is defined as a small change to an agreed design or content direction.

Requests such as new concepts, additional pages or layouts, significant changes to approved work, or new functionality will be treated as additional work and quoted separately.

 

5. Client Responsibilities

You agree to provide all required content, assets, and access in a timely manner, and to ensure you have the right to use any materials supplied (including text and images).

You agree to indemnify AW Design, to the extent permitted by law, against any claims, losses, or damages arising from materials you provide, or from your use of the final deliverables.

You acknowledge that you are responsible for how the final deliverables are used within your business.

 

6. Payment Terms

Unless otherwise agreed, a deposit (typically 50%) is required before work begins, with the remaining balance due once the project is ready for delivery or launch.

Delays caused by the client do not delay payment deadlines. Final payment is required before the release of final files or launch.

Late payments may result in suspension of work, delays to delivery, and interest charged in line with UK late payment legislation.

 

7. Intellectual Property & Ownership

Upon full payment, you will own the final approved deliverables, including the website, branding, or artwork, unless otherwise agreed in writing.

We retain ownership of all pre-existing materials, systems, processes, and know-how used in the delivery of the project, including any reusable frameworks or components.

This does not affect your ownership of the final approved deliverables.

Any third-party materials (including fonts, plugins, or stock assets) remain subject to their own licences and may require ongoing renewal.

 

7.2 Handover & Project Transfer

Upon full payment of all outstanding fees, we will provide the Client with reasonable access to final project files and deliverables.

Where a project is transferred to a third party, we can provide a reasonable level of handover support to facilitate the transition. Any additional support, documentation, or liaison beyond this will be treated as additional work and charged at our standard rates.

We are not responsible for issues arising after a project has been transferred or modified by third parties.

 

8. Third-Party Services & Software

We may use third-party tools, plugins, platforms, or suppliers as part of a project.

While we take care in selecting reliable providers, we are not responsible for the ongoing performance, availability, or security of third-party software or services, including any changes, updates, or discontinuation beyond our control.

Any ongoing licence or subscription costs are the responsibility of the Client unless otherwise agreed.

 

8.2. Subcontractors

AW Design may engage trusted freelance specialists or third-party partners (“subcontractors”) to assist in the delivery of services where appropriate.

All subcontractors are carefully selected and work under AW Design’s direction. AW Design remains responsible for the overall management and delivery of services provided to the Client.

In some cases, subcontractors may communicate directly with the Client to support delivery. Where this occurs, they do so as part of the AW Design team.

The Client agrees not to directly engage or solicit services from any subcontractor introduced through AW Design during the course of a project, or for a period of 12 months following its completion, without prior written consent (not to be unreasonably withheld).

 

9. Website-Specific Terms

Where a project includes a website, the Client will own the final approved website deliverable upon full payment, subject to section 7 (Intellectual Property & Ownership).

After launch, you are responsible for updates unless covered by a Care Plan. We are not liable for issues caused by outdated or modified software.

We offer optional Care Plans for ongoing maintenance and support. Without a Care Plan, websites are not actively maintained and we cannot guarantee performance, security, or compatibility over time. We reserve the right to prioritise support for clients with an active Care Plan.

 

10. Hosting

If hosting is not managed by AW Design, we are not responsible for hosting performance, downtime, or security.

If hosting is provided by AW Design, services will be defined separately within a Care Plan or hosting agreement.

 

11. SEO & Marketing

We follow best practices when building websites and campaigns. However, we do not guarantee rankings, traffic, or specific results.

Any additional SEO or marketing services will be outlined separately.

 

12. Print & Production

Where work includes print or physical production, final artwork approval is your responsibility before printing.

We are not liable for errors once artwork has been approved. Minor variations in colour or finish may occur due to print processes.

 

13. Liability

We will carry out our services with reasonable skill and care.

While we aim to deliver high-quality work, we do not guarantee specific business outcomes or results.

To the fullest extent permitted by law, AW Design shall not be liable for any indirect or consequential loss, including loss of revenue, profit, or data.

We are not responsible for issues arising from third-party systems, platforms, or services beyond our control, although we will make reasonable efforts to assist in resolving such issues where possible.

Our total liability in relation to any project or services shall be limited to the total fees paid for that project or service.

Nothing in these terms shall limit or exclude liability where it cannot be limited or excluded under applicable law.

 

14. Termination

Either party may terminate a project in writing.

In this case, work completed to date will be invoiced, deposits are non-refundable, and any outstanding work must be paid for. We reserve the right to charge for time spent and any third-party costs incurred.

 

15. Access & Collaboration

You agree to provide access to systems, hosting, and accounts, and to communicate in a timely manner.

Delays in communication or access may impact timelines and delivery.

 

16. Portfolio & Credit

We reserve the right to display completed work in our portfolio and marketing, and to include a small credit on websites where appropriate.

 

17. Confidentiality

Both parties agree to keep confidential information private unless required by law or agreed otherwise.

Both parties also agree to comply with applicable data protection laws, including the UK GDPR. Any personal data will be handled in accordance with our Privacy Policy.

 

18. General

These Terms are governed by the laws of England and Wales.

We are not liable for delays outside our control. If any part of these Terms is found to be invalid, the remainder will continue in effect.
